Bylaws of Madison Area Disc Club, Ltd.

Madison Area Disc Club, Ltd. goals are to promote the growth and enjoyment of disc golf and other flying disc sports in the Madison area and beyond.

I. Membership

A. Initiation and maintenance

  1. Membership is secured by payment of the $10 annual dues.
  2. Membership is valid for 12 months from receipt of payment by any executive director.
  3. Juniors may receive incentive to renew with, or join the club.

B. Classifications

  1. Directors (must be current club members)
    • There are seven elected club board director positions.
    • Four executive directors: President, Vice President, Secretary, and Treasurer.
    • Three At-large positions.
  2. Members
    • Juniors: 16 or younger
    • Adults: 17 or older

C. Rights

  1. Directors (must be current club members)
    • To discuss and vote on any and all club issues.
    • To schedule monthly meetings and decide what issues will be discussed.
    • To put issues to vote at monthly meetings if at least four directors are present and a majority agree.
  2. Members
    • To discuss and vote on any and all club issues.
    • Members may petition the board to put an issue on the monthly meeting agenda. If 10% of the members sign such a petition, the board must put that issue to vote at the next monthly meeting, after such petition is received by any executive director. Expelled members can petition for re-admission through this process.

D. Responsibilities

  1. All club members and directors must conduct themselves to promote the mission of the club.
  2. President. Prepares agenda, chairs monthly meetings, oversees all club operations, can sign checks.
  3. Vice President. Helps president with his duties, and assumes presidency if president is vacant or incapacitated.
  4. Secretary. Prepares agenda, keeps minutes of all club meeting and actions. Maintains club member database. Makes minutes available to club members.
  5. Treasurer. Keeps an accurate accounting of all club finances. Pays authorized bills, signs checks, and is the main contact with the bank.
  6. At-large Directors. Attend all meetings and help the club and executive directors as needed.

II. Decision Making

No club director or member action or decision is binding on MADC, ltd., unless it was, or eventually is, approved by the following procedures. All club decisions are approved by a simple majority vote of members present at widely publicized monthly meetings, except for the following:

  • Changes to the by-laws must be by referendum with a 2/3 majority of cast ballots.
  • Removal of a director from office by a petition signed by at least 2/3 of the members.
  • Expulsion of a member from the club requires a unanimous vote of the acting board of directors. Expelled members shall retain election voting rights for six weeks.

III. Elections

  1. Elections shall be held each year, on or before October 31st.
  2. Elections shall be by secret ballot, in as fair a manner as possible.
  3. Candidates for office must be club members.
  4. Executive director positions are won by the candidate receiving the most votes.
  5. At-large positions are won by the three candidates with the most votes.
  6. Terms commence on October 31st.
    • President and Treasurer are up for election in even numbered years.
    • Vice president and Secretary are up for election in odd numbered years.
    • In the 21st millenium, the three At-large directors are up for election each year.
  7. Director Vacancies
    • Board vacancies due to resignation or incapacity.
      • Vacant executive director positions shall be filled as soon as possible, by a vote at the next monthly meeting.
      • At-large positions will remain vacant until the next election.
      • No vacancy occurs until a letter of resignation is noted in the minutes of the next monthly meeting.
      • Board vacancies by incapacity occur if the incapacity is proposed at a monthly meeting, posted in the minutes, and is discussed and remains undisputed at the next two monthly meetings.
    • Board vacancies due to declination will be filled by the candidate with the second most votes.
